Holcim appoints board for North American spin-off
Holcim has announced the leadership team for its planned North American spin-off, marking a key step towards its listing as an independent company.
The company has appointed Jan Jenisch as chairman and CEO of the planned entity. Jenisch, currently Holcim’s chairman, previously served as its CEO from 2017 to 2024. He will lead the spin-off, which is expected to be finalised by mid-2025, pending shareholder and regulatory approvals.
“This is an important milestone as we prepare Holcim’s North American business to operate as an independent public company,” said Jenisch. “The designated board members bring exceptional expertise and leadership experience, ensuring strong governance and a focus on value creation.”
The new board will consist of 10 members, including nine independent directors from diverse professional backgrounds. Their expertise spans construction, manufacturing, industrial operations, and financial services. Among the appointees are:
- Theresa Drew, former managing partner at Deloitte & Touche LLP.
- Nicholas Gangestad, former CFO of Rockwell Automation and 3M.
- Dwight Gibson, former CEO of BlueLinx Holdings.
- Holli Ladhani, former CEO of Select Energy Services.
- Michael McKelvy, president and CEO of McDermott International.
- Jürg Oleas, former CEO of GEA Group AG.
- Robert Rivkin, chief legal officer for United Airlines.
- Katja Roth Pellanda, general counsel at Zurich Insurance.
- Cristina Wilbur, chief people officer at Roche.
Holcim, a global leader in sustainable building solutions, reported net sales of CHF 27.0 billion in 2023. Headquartered in Switzerland, it operates in markets across Europe, North America, and Asia, providing innovative products such as ECOPact and ECOPlanet concrete, ECOCycle recycling solutions, and advanced roofing systems under the Elevate brand.
The North American business spin-off reflects Holcim’s strategy to focus on market leadership and sustainability in key regions. Final details of the spin-off, said the company, will be shared in the coming months.
