Holcim plans spin-off of North American business
Sustainable building solutions provider Holcim is moving forward with plans to spin off its North American business. The new entity will be listed on the New York Stock Exchange (NYSE), with the process expected to conclude by mid-2025.
The planned separation, subject to shareholder approval at Holcim’s annual general meeting on 14 May 2025, involves a 100% spin-off to create a standalone entity under US Securities and Exchange Commission (SEC) regulations. The new company will report in US GAAP and aims to be included in relevant US equity indices.
To support European investors, the new entity will also seek a secondary listing on the SIX Swiss Exchange. Completion of the spin-off depends on obtaining necessary regulatory and customary approvals.
Holcim’s chief executive officer, Jan Jenisch, said: “The planned spin-off represents a significant step in advancing Holcim’s strategy. It will allow us to optimise operations and focus on building progress for people and the planet.”
Holcim is headquartered in Switzerland and operates globally, including major markets in Europe, the Americas, and Asia. The company recorded net sales of CHF 27 billion (£23.6 billion) in 2023. With 63,000 employees, it offers a range of sustainable solutions, including ECOPact concrete, ECOPlanet cement, and the ECOCycle circular technology.
The North American business is a significant contributor to Holcim’s revenue, reflecting the strength of the region’s construction sector. The spin-off is expected to enable more focused growth and operational independence.
